This Reseller Agreement ("Agreement") sets forth the terms and conditions under which clients ("Resellers") may resell services provided by VigilX Networks ("Company"). By purchasing and reselling any of the Company’s services, Resellers agree to the terms outlined in this Agreement without requiring a physical signature.
If you do not agree to these Terms, you must not use our Services. VigilX Networks reserves the right to modify or update these Terms at any time, and such changes will become effective immediately upon posting. It is your responsibility to review these Terms periodically. Continued use of the Services after any modifications constitute your acceptance of the revised Terms.
[1] ApplicabilityThis Agreement applies to all Resellers who purchase and resell the Company’s services.
Resold services are treated as equivalent to services purchased directly by end-users. The Reseller is subject to the same legal agreements, including but not limited to the Company’s Service Level Agreement (SLA), Acceptable Use Policy (AUP), and any other relevant documents.
Resellers must ensure that all agreements provided to their end-users align with the Company’s legal agreements, including the SLA, AUP, and other relevant documents. Any discrepancies that result in a breach of this Agreement may result in termination of the Reseller’s access to the Company’s services.
Resellers are responsible for providing first-line support to their end-users. The Company retains the right to deny direct support to end-users unless explicitly agreed upon.
Resellers are required to conduct themselves in compliance with all applicable laws, the Company’s SLA, AUP, and other relevant policies. Any violations by Resellers or their end-users will result in appropriate action, including possible termination of services.
Payments for services are due on a regular basis, according to the payment terms selected (e.g., monthly or annually).
Resellers, as well as all other clients, may request an extension of up to five (5) days for payment due dates. Approval of such extensions is at the sole discretion of the Company.
Failure to remit payment within the agreed time, including any extensions, may result in suspension or termination of services.
Any discounts, package deals, or custom orders are provided at the sole discretion of the Company.
The Company reserves the right to refuse any special pricing, perks, or modifications to services without explanation.
Resellers are prohibited from advertising discounts or deals that have not been explicitly approved by the Company.
The Company’s liability remains limited to the extent outlined in its SLA, AUP, and other relevant policies. Resellers are responsible for any issues arising from their end-users’ use of the services.
The Company is not responsible for any damages or data loss caused by the Reseller or their end-users, including but not limited to file corruption or mismanagement of services.
Resellers agree to indemnify and hold the Company harmless from any claims, damages, or liabilities arising from the Reseller’s or their end-users’ actions.
The Company reserves the right to terminate this Agreement or the Reseller’s access to services at any time without prior notice in cases of breach of this Agreement.
Upon termination, the Reseller must immediately cease all use of the Company’s services and remove any branding, trademarks, or other intellectual property belonging to the Company.
This Agreement constitutes the entire understanding between the Company and the Reseller and supersedes all prior agreements or understandings.
The Company reserves the right to modify this Agreement at any time. Continued use or reselling of services constitutes acceptance of the modified terms.
This Agreement is governed by the laws of the state of Texas. Any disputes shall be resolved in the courts of Texas.
